AAHCR BYLAWS

Legally speaking… this is everything you need to know about AAHCR.

(Amended February 2001)

Article I. NAME
The name of the Association shall be the Atlanta Association of Healthcare Recruiters.

Article II. MEMBERSHIP

A. Active Membership
Active membership will be limited to individuals employed by an inpatient hospital or outpatient clinic, extended care facility, home care agency, HMO, voluntary or government health organization or the military. The individual must be currently engaged in some healthcare recruitment activity such as a Health Care Recruiter, or be responsible for the operation of some recognized health care recruitment program. Active membership entitles the member to all correspondence concerning official actions of the AAHCR, all official publications, and one vote in any election of officers and amendments to the bylaws.

*If more than one representative from an institution is present at voting time, they should come to consensus and cast one vote for their institution.

B. Associate Membership
Associate membership is identical to that of active membership with the exception that there is no voting privileges for election of officers or amendments to the bylaws and their annual dues are $150.

Associate membership will be open to vendors with interest to members and will be encouraged to sponsor Association events. Associate members will be invited to join the Association by letter from the President.

C. No part-time, temporary supplemental agency and/or personnel placement agency is eligible for active or associate membership status.

Article III. DUES
Fiscal: The association fiscal year shall begin January 1 and end December 31.

Collection: Active membership dues of $100 per facility will be paid annually to the treasurer. The dues process will begin by January 1 and must be paid by March 1. Those facilities unable to pay the stated yearly dues are welcome to continue attendance at the bi-monthly meetings, but will be excluded from such activities as voting or holding elected office. The institution of a membership dues policy is not to exclude participation, but to further our purpose as an association.

Article IV. MEETINGS
Frequency and Content: The AAHCR shall hold bi-monthly meetings.

Notices: Notice of all meetings of the AAHCR shall be sent to all members by the President via Email and shall be posted on AAHCR website.

Closed Meetings: Meeting of the AAHCR will be open to prospective members unless the majority of the members present elect to have a closed meeting.

Major Issues: All issues determined to be major by the President shall be submitted to the membership for a vote. A quorum of those members present and voting will be necessary to pass the issue.

Quorum. Twenty-five percent of the membership shall constitute a quorum for the transaction of business at any meeting of the Association’s membership.

Article V. OFFICERS
Elected Officers: The officers of this association shall be a President, President-Elect, Secretary, and Treasurer. The Secretary and Treasurer shall be elected for a one-year term. The President-Elect will serve a two-year term and become President at the end of the first year.

Election: At the February meeting each year, three members shall be appointed by the President to a nominating committee. It shall be the responsibility of the nominating committee to:

1. Send out nomination ballots via mail, in April to all members of AAHCR.
2. In May each year, from the names submitted on the nomination ballot, an election ballot shall be sent via mail to all members. No more than three names should be placed on the election ballot for each office. If a member is nominated for several offices, the chairperson of the nominating committee should contact the nominee for input and preference.
3. The nominating committee shall announce the President, President-Elect, Secretary and Treasurer at the June meeting each year.

Article VI. DUTIES OF OFFICERS
Section I
The President shall:

a. Serve as Executive Officer of the Association.
b. Preside over all meetings of the AAHCR.
c. Appoint the chairpersons of all standing and special committees.
d. Serve as a representative of the AAHCR at meetings of other organizations concerned with health care recruiting or appoint a representative.
e. Conduct all general correspondence of the Association.
f. Preserve all papers, letters and transactions of the Association.
g. Perform other executive functions as may be required.
h. Appoint someone to do minutes in absence of secretary.

Section II.
The President-Elect shall:

a. Assume the duties of President in his/her absence.
b. Assume appropriate responsibilities as delegated by President to include Area Reporter for Recruitment Direction.
c. Assume the office of President on July 1.

Section III.
The Secretary shall:

a. Keep minutes of all meetings and distribute at the next meeting.
b. Keep an accurate list of the names and addresses of all members of the AAHCR.

Section IV.
The Treasurer shall:

a. Collect the Association’s funds and keep accurate records of financial transactions.
b. Maintain all banking transactions at a bank of choice approved by the elected officers.
c. Submit a year-end written report of expenditures and transactions.
d. Submit a monthly statement at each meeting or as called by the President.
e. Deliver vouchers, books, records, etc. to the elected officers at the end of term, prior to the last yearly meeting

Section V.
Ethics and Standards Conduct

Integrity: The Atlanta Association of Health Care Recruiters is founded for the purpose of exchanging and promoting sound ethical principles of health care recruitment. In so doing, the members are expected to demonstrate integrity and behavior of the highest professional character; therefore, the following will serve as guidelines.

a. Conduct: The activities of the members of the Atlanta Association of Health Care Recruiters will always be conducted in a professional manner which reflects credit to themselves and the Atlanta Association of Health Care Recruiters. They will avoid infringing on the rights of others and conflicts of others. They will promote their own institutions and will not engage in activities which are derogatory to others.
b. Advertising: The members will utilize advertising which truthfully exemplifies the characteristics of their institution. Advertising should be within compliance of EEOC guidelines. Plagiarism is to be avoided as are references to other agencies.
c. Exhibit and Other Recruiting Activities: The members will conduct their exhibit and other recruiting activities to promote hospitals or health care institutions. Other recruiters shall not promote their institution at another’s recruitment function.
d. References: Members communicating references to other members will do so in strictest confidence. Whenever permitted by policies of the respective institutions, the following will be given:

1. Dates of employment
2. Job classification
3. Eligibility for rehire
4. Other pertinent data
